The parties wish to set the amount of the annual compensation of the Agent, as
set forth in Sections 15.1 and 15.2 and re-certify the information disclosed in Section 17
of the Agreement.
NOW, THEREFORE, the parties agree that for the operating year ending on

1. The basic compensation due to the Agent under Section 15.1 of the Agreement
(and as established in the approved Budget) shall equal

2. If the Premium Management Fee is earned by the Agent, the amount of the
Premium Management Fee that may be paid to the Agent under Section 15.2 of
the Agreement (and as established in the approved Budget) shall equal

3. The Agent certifies as follows:
The information set forth in Section 17 of the Agreement is still true and
correct and no change in ownership and control of the Management
Agent has occurred. (Do not update Schedule 1 of this Addendum.)
The information set forth in Section 17 of the Agreement is no longer
correct. An updated Schedule 1 is included with this Addendum to
identify the changes to the ownership and control of the Management
Agent. The information set forth in the attached Schedule 1 shall replace
the information set forth in Section 17 of the Agreement.
4. All other terms, conditions, and provisions of the Agreement will remain in full
force and effect.
